By registering for and using this portal (the “Portal”), you agree to the following Terms and Conditions (“Terms”). If you do not agree, do not register or use the Portal.

1. Purpose of the Portal

This Portal exists solely to facilitate lead collaboration between Firefly Reservations (“Firefly”) and Influence Outdoor Hospitality (“IOH”).

• Firefly may submit leads into the Portal on behalf of prospective clients.
• IOH will manage follow-up, outreach, and qualification of those leads.
• IOH will update lead statuses so Firefly sales representatives have visibility into progress.

This Portal is not a CRM, sales guarantee, or performance tracking system.

2. Roles & Responsibilities

Firefly Responsibilities

• Submit accurate, lawful, and permission-based lead information.
• Ensure all leads comply with applicable privacy, anti-spam, and data protection laws.
• Use the Portal only for legitimate business purposes related to IOH.

IOH Responsibilities

• Review and follow up on submitted leads at its discretion.
• Update lead status when reasonably appropriate.
• Determine sales strategy, outreach methods, and qualification standards independently.

IOH is not obligated to contact, convert, or close any submitted lead.

3. No Guarantee of Results

IOH makes no guarantees regarding:

• Lead conversion
• Response time
• Sales outcomes
• Revenue generation

All leads are provided “as-is.” Firefly acknowledges that sales outcomes depend on many factors outside IOH’s control.

4. Data Ownership & Use

• Firefly retains ownership of the original lead data it submits.
• IOH retains ownership of all notes, status updates, communications, and internal assessments entered into the Portal.
• IOH may use submitted lead data for internal sales, marketing, and reporting purposes related to its services.

Neither party may sell, share, or distribute Portal data to third parties without written consent, except as required by law.

5. Confidentiality

Both parties agree to treat all Portal data as confidential and to:

• Limit access to authorized personnel only
• Use reasonable safeguards to protect the data
• Not disclose information to unauthorized third parties

This obligation survives termination of Portal access.

6. Portal Access & Security

• Firefly is responsible for maintaining the confidentiality of its login credentials.
• Unauthorized access, misuse, scraping, or data extraction is strictly prohibited.
• IOH reserves the right to suspend or revoke access at any time for misuse, abuse, or security concerns.

7. Limitation of Liability

To the fullest extent permitted by law:

• IOH shall not be liable for indirect, incidental, or consequential damages.
• IOH is not responsible for lost revenue, missed opportunities, or sales disputes.
• Firefly agrees to indemnify IOH against claims arising from unlawful or unauthorized lead data submissions.

8. Modifications & Availability

• IOH may update or modify these Terms at any time.
• Continued use of the Portal constitutes acceptance of updated Terms.
• IOH does not guarantee uninterrupted access to the Portal and may modify or discontinue it at any time.

9. Termination

Either party may terminate Portal access at any time. Upon termination:

• Access will be revoked
• Data may be retained for internal records unless otherwise required by law

10. Governing Law

These Terms are governed by the laws of the state of the State of Illinois, without regard to conflict of law principles.

11. Acceptance

By registering for the Portal, you confirm that:

• You are authorized to act on behalf of Firefly Reservations
• You have read, understood, and agreed to these Terms & Conditions
